Terms of Service

1. The Service

PenguinClip ("we", "us", "our") provides a done-for-you video clipping service. Subscribers submit long-form video content each week, which our team clips, captions, scores, and delivers to your specified Google Drive or Dropbox folder. By creating an account and subscribing to a plan, you agree to be bound by these Terms of Service.

2. Accounts & Eligibility

You must be at least 18 years old to create a PenguinClip account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at info@penguinclip.com if you suspect any unauthorised use of your account.

You may not create accounts for other people without their consent or create multiple accounts to circumvent plan restrictions or our policies.

3. Subscriptions & Billing

PenguinClip is offered on a recurring monthly or annual subscription basis. By subscribing, you authorise us to charge your payment method at the start of each billing period.

• Cancellation: You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of your current billing period — you will not be charged again after cancellation.
• Refunds: New subscribers are eligible for a full refund within 7 days of their first delivery if they are not satisfied. After this period, payments are non-refundable except where required by applicable law.
• Price changes: We will give you at least 30 days' notice of any change to your subscription price, and the change will take effect at your next renewal.
• Annual plans: Annual plans are billed upfront for 12 months. The 7-day money-back guarantee applies. There are no partial refunds for unused months beyond the guarantee period.

4. Your Content

You retain full ownership of all video content you submit to PenguinClip and all clips we produce from that content. By submitting content, you grant PenguinClip a limited, non-exclusive licence to process, clip, and edit that content solely for the purpose of delivering your weekly clips.

You warrant that you have all necessary rights, licences, and permissions for any content you submit, including the right to authorise us to process it. You must not submit content that:

• Infringes the intellectual property rights of any third party.
• Contains illegal, defamatory, harassing, or otherwise harmful material.
• Violates the terms of any third-party platform (e.g. YouTube) from which the content originates.

5. Acceptable Use

You agree not to use PenguinClip to:

• Submit content that is illegal, harmful, fraudulent, or violates third-party rights.
• Attempt to reverse-engineer, scrape, or interfere with our service or infrastructure.
• Resell or redistribute PenguinClip's service or outputs without our written consent.
• Use automated systems to submit content or interact with the service beyond normal use.

We reserve the right to suspend or terminate accounts that violate these acceptable use standards, without refund.

6. Delivery & Service Standards

We aim to deliver your clips within 3 to 5 business days of receiving your weekly video submission. Business plan subscribers receive priority processing, typically within 3 business days. These are target timelines — we will always communicate proactively if a delivery is delayed.

The number of clips and features available depend on your plan. Plan details are set out on our Pricing page and may be updated from time to time with notice.

We reserve the right to decline to process content that we reasonably believe violates these Terms or applicable law.

7. Intellectual Property

The PenguinClip name, logo, website, software, scoring algorithms, and all related intellectual property are owned by PenguinClip and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our brand, trade marks, or proprietary technology except as necessary to use the service.

8. Limitation of Liability

To the maximum extent permitted by law, PenguinClip's liability to you for any claim arising out of or in connection with the service will not exceed the total amount you paid to us in the 3 months preceding the claim.

PenguinClip is not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, loss of data, or reputational damage, arising from your use of the service.

The service is provided "as is". We do not guarantee that any clip will achieve a particular level of performance, views, or engagement on any social media platform.

9. Termination

You may cancel your account at any time. We may suspend or terminate your account if you breach these Terms, engage in conduct that harms our service or other users, or fail to pay your subscription fees. On termination, your access to the service will end. Your clips already delivered to your Drive or Dropbox will remain there — we do not delete your existing deliverables.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 14 days before the changes take effect. Continued use of the service after that date constitutes acceptance of the updated Terms. If you do not agree, you may cancel your subscription before the changes take effect.
